These Terms & Conditions apply to quotations, orders, goods and services supplied by Tech Twenty One Ltd. They are intended principally for business customers. If you purchase as a consumer, any rights that cannot lawfully be excluded or restricted will continue to apply.
1. Definitions
“Company”, “we”, “us” means Tech Twenty One Ltd. “Customer” means the person or organisation purchasing from us. “Goods” includes hardware, software, licences and related products. “Services” includes solution design, configuration, deployment, support and other work agreed with the Customer.
2. Application of these terms
These terms apply to all quotations, orders and supplies unless different terms are expressly agreed by us in writing. Placing an order constitutes acceptance of these terms.
3. Quotations
Unless a quotation states otherwise, it is valid for 14 days. Quotations are based on the information available when issued and remain subject to stock, supplier pricing, exchange-rate movement and final order acceptance.
4. Orders and acceptance
An order is not binding on us until we have accepted it in writing or begun fulfilment. We may decline an order where stock is unavailable, supplier terms change, a pricing or specification error is identified, or satisfactory credit arrangements are not in place.
5. Prices and VAT
Prices are in pounds sterling and exclude VAT, delivery and any other stated charges unless expressly shown otherwise. VAT is charged at the applicable rate.
6. Payment and credit
Approved business-account invoices are payable within 30 days of the invoice date unless agreed otherwise in writing. We may require payment in advance or a deposit. Overdue sums may attract statutory interest and recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998.
7. Delivery
Delivery dates are estimates unless expressly agreed as guaranteed. We are not liable for reasonable delay caused by manufacturers, suppliers, carriers, customs or events outside our control. We may make partial deliveries and invoice them separately.
8. Risk and title
Risk passes to the Customer on delivery to the agreed address or collection by the Customer or its carrier. Title to Goods remains with us until all sums due for those Goods have been paid in full.
9. Inspection and delivery issues
The Customer should inspect Goods promptly and notify us of visible damage, shortages or delivery discrepancies within 48 hours. This does not affect any rights that cannot lawfully be limited.
10. Changes and cancellations
Requested changes or cancellations require our written agreement. The Customer is responsible for reasonable costs and commitments already incurred, including supplier, manufacturer, configuration and carriage charges.
11. Special-order and configured Goods
Goods obtained specifically for a Customer, built to order, configured, imaged, asset-tagged, registered or otherwise personalised cannot normally be cancelled or returned unless faulty or we agree otherwise in writing.
12. Returns and RMA authorisation
No return may be made without prior authorisation and, where applicable, an RMA number. Approved returns must follow the instructions provided and be complete, securely packaged and accompanied by the relevant documentation. Restocking, collection or supplier charges may apply to non-faulty returns.
13. Warranty
Goods are supplied with the relevant manufacturer’s warranty where applicable. Warranty service, repair, replacement or credit may be subject to the manufacturer’s or supplier’s testing and RMA process. We will provide reasonable assistance in progressing a valid claim.
14. Software, subscriptions and licences
Software, cloud services, subscriptions and licences are also governed by the relevant publisher’s or provider’s terms. Once issued, activated or registered, they may be non-cancellable and non-refundable. The Customer is responsible for ensuring that use remains properly licensed.
15. Services
We will perform Services with reasonable care and skill, based on the agreed scope and information supplied by the Customer. Dates for Services are estimates unless agreed otherwise. Additional work arising from incomplete or inaccurate information, changed requirements or circumstances outside the agreed scope may be charged separately.
16. Customer responsibilities
The Customer must provide timely, accurate information, access, approvals and any licences or permissions reasonably required. The Customer remains responsible for its data, backups, security policies and confirming that proposed Goods and Services meet its operational requirements.
17. Intellectual property
Intellectual property in third-party products, software and documentation remains with its owner or licensor. Our pre-existing materials, methods and know-how remain ours. No ownership rights transfer except where expressly agreed in writing.
18. Data protection and confidentiality
Each party will comply with applicable data-protection law and take reasonable care of confidential information received through the business relationship. Details of how we handle personal information are set out in our Privacy Policy.
19. Liability
Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation. Subject to that, we are not liable for indirect or consequential loss, loss of profit, revenue, business, anticipated savings, goodwill or data. Our total liability arising from an order will not exceed the amount paid or payable for the relevant Goods or Services, to the fullest extent permitted by law.
20. Events outside our control and general terms
We are not liable for failure or delay caused by events beyond our reasonable control. If any provision is unenforceable, the remaining provisions continue in effect. A delay in enforcing a right is not a waiver of that right. The Customer may not transfer an order without our written consent.
21. Governing law and jurisdiction
These terms and any dispute or claim arising from them are governed by the laws of England and Wales. The courts of England and Wales shall have jurisdiction.
